AMC CEO Blasts Robinhood Over Unregistered Stock Tokens
AMC CEO Adam Aron challenges Robinhood’s unregistered Stock Tokens, citing ownership, voting and U.S. securities law concerns.
Adam Aron, CEO of AMC Entertainment, has strongly criticised Robinhood for their offshore "Stock Tokens" linked to AMC. According to Aron, the products are not registered under U.S. securities laws, but they do offer investors price exposure to AMC shares without actual stock ownership or voting rights. He described the practice as extremely troubling and stated that AMC would investigate the matter in court and get in touch with the SEC, escalating the conflict into a significant public argument with Vlad Tenev, CEO of Robinhood.
Adam Aron Calls Robinhood’s Stock Tokens Outrageous
On September 3, Aron brought up the matter for the first time, stating that Robinhood was allegedly behind a project involving "tokenised real-world assets including Stock Tokens" associated with AMC Entertainment and purportedly more than 190 other companies.
According to Aron, these Stock Tokens are not registered under U.S. securities laws, which is a major point of disagreement in his criticism. He called the practice "outrageous" and "contemptible," indicating that AMC takes the matter far more seriously than a dispute about a novel kind of investment product.
What investors truly obtain when they buy these tokens is the main point of contention for the AMC CEO. The products do not grant holders the underlying ownership or voting rights associated with AMC's actual shares, even though they may expose investors to the company's share price.

AMC Questions Ownership & Investor Protection
Aron has significant concerns about the gap between price exposure and actual stock ownership. Through the token, an investor may be able to profit from changes in AMC's share price, but this does not grant the investor voting rights as an actual AMC shareholder.
Aron also compared AMC's own regulatory responsibilities with Robinhood's strategy. He emphasised in his September 4 response that AMC spends millions upon millions of dollars annually adhering to U.S. securities laws, emphasising that the purpose of these regulations is to safeguard investors.
He argues that while companies like AMC make significant investments in complying with regulations, Robinhood's offshore Stock Tokens seem to offer an alternative avenue for gaining exposure to such companies.
Vlad Tenev Asks “What’s the Concern?”
Vlad Tenev, the CEO of Robinhood, addressed Aron's complaint directly, but it was noticeably brief. Tenev just asked, "What's the concern?" which led Aron to give a far more compelling justification for his concerns about the Stock Tokens.
In response, Aron said the list of issues was "almost existential." He reiterated the significance of U.S. securities laws and maintained that their purpose is to safeguard investors.
Regarding the structure and regulation of tokenised stock products, the public exchange has put the CEOs of AMC and Robinhood squarely against one another. Additionally, Aron stated unequivocally that AMC does not intend to keep the issue at the level of social media criticism.

AMC Plans Legal Review as Shares Jump
In addition to contacting the U.S. Securities and Exchange Commission on the matter, Aron stated that AMC will evaluate Robinhood's Stock Tokens legally. This places the products' regulatory status at the heart of the conflict.
AMC's market activity was quickly impacted by the incident. After-hours trading saw a more than 15% increase in AMC shares as investors responded to the conflict and increased focus on the business.
As new meme-stock buzz entered the market due to the renewed focus on AMC, the associated $MEME meme currency also experienced a rise in trading volume.
The developments now leave Robinhood facing direct criticism from the CEO of one of the companies reportedly represented through its Stock Tokens. At the same time, Aron’s planned legal review and contact with the SEC could push questions around registration, shareholder rights and the structure of offshore Stock Tokens into a broader regulatory discussion.
